Offshore Development Center for US Companies: Contracts, IP and Working Hours

An offshore development center for US companies has to answer US buyers’ questions before it answers anything else. Who do we contract with? Which law governs the agreement? Do we own the IP under US law? Where does our data live? How many hours overlap with our time zone? This page answers each one directly. It covers contracting and governing law, USD invoicing, IP assignment, data transfer and residency, overlap for every US time zone, holiday calendars side by side, and the escalation path for every engagement. Talk to us about your engagement.

Contracting, Governing Law and Invoicing

US companies want an offshore engagement to look like any other vendor relationship on the commercial side: a clear agreement, familiar governing law and invoices in dollars. The structure below is how our US engagements are set up. It keeps legal review simple for your procurement and legal teams, and avoids the currency, tax and payment complexity that makes some offshore arrangements harder to manage than they need to be. It applies to every engagement we run from our offshore development center in india.

Master Services Agreement

Every engagement runs under a master services agreement covering commercial terms, liability, confidentiality, IP, data protection and termination, with a statement of work for each team or project. Your legal team reviews it before signing.

Governing Law

Governing law and dispute resolution are agreed between the parties, and US clients commonly choose the law of their own state. Your legal team reviews the agreement in familiar terms.

USD Invoicing

Invoices are issued monthly in US dollars, with payment terms agreed upfront. There is no currency conversion on your side, and no international payment complexity for your finance team. Invoices are itemised by role.

Clear Commercial Terms

Minimum terms, notice periods, replacement commitments and rate review clauses are written into the agreement, as set out in our delivery guarantees. Nothing important depends on informal promises. Everything is in writing.

Pricing Transparency

Rates are all-in monthly figures per engineer, with no separate recruitment or HR fees. Our pricing packages show current team configurations and indicative costs. Cloud and licence costs are billed to your own accounts, without markup.

IP Assignment Under US Law

Intellectual property is the question US legal teams care about most, and the answer must be watertight. US copyright law’s work-made-for-hire doctrine does not reliably cover software written by contractors or by employees of another company, especially outside the US. Ownership therefore has to be secured through explicit written assignment. The protections below are built into every engagement, so ownership of code, designs and documentation is never in doubt. Your counsel can verify each one.

Why Work-for-Hire Is Not Enough

Software created by an outside company’s engineers generally does not qualify as work made for hire on its own. Relying on that label alone can leave ownership uncertain, so explicit assignment is essential.

Present Assignment Language

The agreement assigns all rights in deliverables to your company as they are created, using present-tense assignment language, rather than a promise to assign that would require later action. Ownership transfers automatically.

Engineer-Level Assignments

Each engineer signs an individual NDA and IP assignment in favour of the provider, which flows through to you. That closes the gap between the company contract and the individuals writing code.

Background and Third-Party Code

Pre-existing tools or components the provider reuses are licensed to you perpetually, and open-source dependencies are tracked with their licences, so nothing in your product carries hidden restrictions. Licences are documented for audits.

Code in Your Repositories

All code lives in your repositories from the first commit. Ownership is legally assigned and practically in your hands, with no handover required at the end of the engagement. Access stays under your control.

Data Transfer and Data Residency

US companies often need production data to stay in the US, and some face sector rules such as HIPAA or state privacy laws. An offshore team can work within these constraints when the access model is designed carefully. The practices below keep your data where it belongs while the offshore team develops, tests and supports your systems. They are agreed with your security team during onboarding. They are documented for your auditors.

Data Stays in US Regions

Production data remains in your US cloud regions. Engineers access systems remotely through your identity provider, and data is not copied to devices or servers in India. Access is logged and reviewed.

Anonymised Test Data

Development and testing use anonymised or synthetic data wherever possible. Engineers access real production data only when strictly needed, with every access logged and reviewed. Synthetic data generation is built into test environments where needed.

Healthcare and Regulated Data

For healthcare clients, business associate agreements and HIPAA-aligned controls can be put in place. Other regulated data follows the specific requirements of your sector and contracts. Controls are documented for your auditors.

State Privacy Laws

State privacy laws such as California’s give consumers rights over their data. The team builds systems that support access, deletion and consent requirements, and follows your privacy policies. Requirements are agreed upfront.

Security Controls

Managed devices, VPN, multi-factor authentication and least-privilege access apply to every engineer. Our delivery runs under ISO 27001 controls, which supports your own audits and due diligence. Evidence is available on request.

Overlap by US Time Zone

Overlap depends on where your team sits, so a single number for “the US” is misleading. India is 9.5 hours ahead of US Eastern time and 12.5 hours ahead of Pacific time during daylight saving. The table shows typical daily overlap windows for each US time zone in daylight saving months. In winter, the difference grows by an hour, and windows shift slightly later in India’s evening to compensate. Most agile teams need only that window.

US time zoneDaily overlapWindow (US local time)Window (India time)

CentralAbout 2.5 hours8:00–10:30 a.m.6:30–9:00 p.m.
MountainAbout 2 hours8:00–10:00 a.m.7:30–9:30 p.m.
PacificAbout 1.5 hours8:00–9:30 a.m.8:30–10:00 p.m.

East and Central Clients

Eastern and Central clients get about two and a half hours of morning overlap, enough for stand-ups, reviews and decisions, with development and testing running overnight. Nothing waits a full day.

Mountain and Pacific Clients

West Coast and Mountain clients get less overlap. A split model usually works best, with most of the team on standard hours and one lead covering the later window. Written updates cover the rest.

Using the Overlap Well

The overlap window is reserved for decisions, demos and unblocking. Everything else is handled in writing, so work never waits a full day for a simple answer. Questions are logged before each window.

Overnight Progress

Because India works while the US sleeps, builds, tests and fixes are often ready when your day starts, which shortens feedback loops rather than lengthening them. Demos happen in your morning.

Holidays, Coverage and Escalation

Two holiday calendars and a time difference need planning, not improvisation. Holidays are mapped at the start of each year so coverage is agreed in advance, and a defined escalation path means problems reach the right person quickly. The table compares common holidays in each country. Exact Indian holidays vary by state and year, and the agreed calendar for your team is shared during onboarding. Nothing is left to chance.

Holiday Planning

Both calendars are mapped at the start of each year, and releases are scheduled around them. Indian teams usually work through US holidays, which can add progress while your team is away.

Coverage on Indian Holidays

For production support, cover on Indian holidays is agreed in advance, so critical systems are never left unattended during festivals such as Diwali. Release dates avoid major festivals, and on-call rotas are confirmed weeks ahead.

Escalation Path

Issues move from the tech lead to the delivery manager, then to the account lead and executive sponsor, each with agreed response times, so problems are resolved at the right level.

Getting Started

A discovery sprint scopes the work first. Our dedicated developers, ODC vs outsourcing comparison and India vs Eastern Europe comparison cover model and location. Each page helps you plan the engagement before committing.
